Terms of Service — Prism by Fiatos

1. Agreement to Terms

By accessing or using Prism (“the Service”), operated by Fiatos LLC, a Colorado limited liability company (“Fiatos,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Prism is a document intelligence platform that allows users to upload documents, process them using artificial intelligence, and query them using natural language. The Service includes:

  • Document upload and storage
  • AI-powered text extraction and embedding
  • Natural language query interface
  • Pre-populated platform libraries (publicly available document collections)
  • Organization and group management tools

3. Accounts and Registration

3.1 Eligibility. You must be at least 18 years old to use the Service.

3.2 Account Security. You are responsible for maintaining the confidentiality of your credentials. You agree to notify us immediately at support@fiatos.ai if you suspect unauthorized access to your account.

3.3 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update it as needed.

3.4 One Account Per User. Free tier accounts are limited to one per person. Creating multiple accounts to circumvent usage limits is prohibited.

4. Subscription Plans and Billing

4.1 Plans. Prism offers multiple subscription tiers including a Free tier and paid plans. Current pricing is available at prismrag.ai/pricing.

4.2 Free Tier. The Free tier includes limited monthly queries and access to platform libraries. No payment method is required. Fiatos reserves the right to modify free tier limits at any time with reasonable notice.

4.3 Paid Plans. Paid plans are billed monthly through Stripe. By providing payment information, you authorize Fiatos to charge your payment method on a recurring basis.

4.4 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

4.5 Changes to Pricing. We may change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance.

4.6 Taxes. You are responsible for all applicable taxes on your subscription fees.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, store, or process content that is illegal under applicable law
  • Violate the privacy or intellectual property rights of any third party
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to any systems or data
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service for automated scraping or bulk data extraction beyond normal use
  • Resell or sublicense access to the Service without written authorization
  • Harass, defame, or threaten any individual

Fiatos reserves the right to suspend or terminate accounts that violate these terms.

6. Your Content

6.1 Ownership. You retain all rights to documents and content you upload (“Your Content”). Fiatos does not claim ownership of Your Content.

6.2 License to Fiatos. By uploading content, you grant Fiatos a limited, non-exclusive license to process, store, and transmit Your Content solely to provide the Service.

6.3 Responsibility. You are solely responsible for Your Content. You represent that you have all necessary rights to upload it and that doing so does not violate any law or third-party rights.

6.4 No Sensitive Data Without Authorization. Do not upload content classified as highly sensitive (HIPAA-protected health information, financial account numbers, government-classified material) unless you have a written data processing agreement with Fiatos.

7. Platform Libraries

Prism may make publicly available document collections (“Platform Libraries”) available to users. These libraries contain documents sourced from public records, FOIA releases, court filings, and other public sources. Fiatos does not guarantee the accuracy, completeness, or currency of Platform Library content. Users should independently verify any information obtained through Platform Libraries before relying on it.

8. Intellectual Property

The Service, including its software, design, and content (excluding Your Content), is owned by Fiatos and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without written permission.

9. Privacy

Your use of the Service is governed by our Privacy Policy, incorporated here by reference. By using the Service, you agree to our collection and use of data as described in the Privacy Policy.

10. Third-Party Services

The Service uses third-party services including Google Cloud (Vertex AI for embeddings, Cloud Run for hosting, Cloud SQL for data storage) and Stripe for payments. Your use of the Service is subject to these providers' terms.

11. Service Availability

Fiatos will make reasonable efforts to maintain Service availability but does not guarantee uninterrupted access. Scheduled and unscheduled maintenance may result in temporary downtime. Fiatos is not liable for losses resulting from Service unavailability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FIATOS DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT AI-GENERATED RESPONSES WILL BE ACCURATE, OR THAT YOUR DOCUMENTS WILL BE PROCESSED WITHOUT LOSS.

AI responses are generated by automated systems and may be incorrect, incomplete, or misleading. Do not rely on AI-generated answers for legal, medical, financial, or other professional decisions without independent verification.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIATOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FIATOS'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Fiatos, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

15. Termination

Fiatos may suspend or terminate your account at any time for violation of these Terms, non-payment, or any conduct that Fiatos reasonably believes is harmful to users, third parties, or the Service. You may terminate your account at any time by contacting support@fiatos.ai.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Denver, Colorado. You waive any objection to jurisdiction or venue in such courts.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice in the Service. Continued use after changes take effect constitutes acceptance.
